Website Terms and Conditions

  1. Introduction

    This Website is owned by Anytime Professionals Pty Ltd as trustee for the Anytime Group Unit Trust (ABN 57 336 721 676) trading as Anytime Professionals ("Anytime Professionals") By accessing or using this Website, related services and our platform, you agree to these Terms and Conditions, which include our Privacy Policy ('Terms' ). You should review our Terms including our Privacy Policy carefully and immediately cease using our Website if you do not agree to these Terms.

    In these Terms, 'us', 'we' and 'our' means Anytime Professionals.

  2. About Anytime Professionals

    1. Anytime Professionals is a marketplace to connect users with professional service advisers such as accountants, bookkeepers or tax agents.
    2. By using this service, you agree to be bound by these Terms.
    3. Anytime Professionals conducts due diligence about the Professionals and uses reasonable endeavours to ensure the Professionals can provide the service to the Clients.
    4. The parties acknowledge that Anytime Professionals acts as a broker, not an agent, between the parties.
  3. Definitions

    1. Client means users who use the Website to search for Professionals.
    2. Fee means the proposed fee that the Professional will charge the Client for the services. The Fee will be inclusive of GST if the Professional has notified Anytime Professionals that they are registered for GST.
    3. Offer means an offer by the Professional to provide the service to the Client which will include the scope of the work, time frame and the Fee.
    4. Professionals means the professional services providers who are registered on the Website.
    5. Website means the Anytime Professionals Website located at www.anytimeprofessionals.com.au
  4. Registration

    1. Client

      1. You may need to be a registered user to access certain parts of our Website and to accept Offers from Professionals.

      2. When you register, and activate your account, we may require personal information such as your name, email address and telephone number. You must ensure that this information is accurate and current.

      3. When you register and activate your account you are responsible for keeping the user name and password secure and are responsible for all use and activity carried out under this user name.

      4. To create an account, you must:

        1. possess the legal right and ability to enter into a legally binding agreement with us; and

        2. agree and warrant to use the Website in accordance with these Terms.

    2. Professionals

      1. Professionals will need to register an account to be listed on the Website and to make Offers to Clients.

      2. You may be required to provide us with certain information to be listed on the Website, including:

        1. your personal information, including your name, email address and preferred contact numbers;

        2. details of your services, business and a brief description to be displayed on the Website;

        3. information about any professional or industry certifications and professional indemnity insurances;

        4. a photo or image of you and/or a logo of your firm to be displayed on the Website;

        5. whether you have registered for GST and your ABN;

        6. any other information we require from time to time.

      3. Once you submit your registration, Anytime Professionals will endeavour to process your registration as soon as possible.

      4. You agree that any information submitted is accurate, up to date and is a true description of yourself and your business. It is your responsibility to notify Anytime Professionals should there be any material change to your professional registration, your business structure or employment status.

      5. Anytime Professionals reserves the right to reject a registration or to remove your profile from the Website at any time or for any reason at its discretion.

      6. When you register, and activate your account you are responsible for keeping this user name and password secure and are responsible for all use and activity carried out under this user name.

      7. To create an account, you must

        1. possess the legal right and ability to enter into a legally binding agreement with us; and

        2. agree and warrant to use the Website in accordance with these Terms.

      8. By registering your account, you agree to pay Anytime Professionals a commission for any Offer which is accepted by a Client through the Website.

      9. If you are a bookkeeper, you warrant that you are registered with the Tax Practitioners Board.

      10. If you are an accountant that provides tax agent services, you warrant that you are registered with the Tax Practitioners Board and you warrant that you have a certificate of public practice unless exempted.

      11. If you are a tax agent, you warrant that you are registered with the Tax Practitioners Board.

      12. All Professionals must have professional indemnity insurance in order to provide services using the Website. The Professionals warrant that they act as a principal, director, partner or employee and are covered by their professional indemnity insurance to provide the services using the Website.

      13. If the Professional contacts any Client for work without being processed through the Website, Anytime Professionals will ban the Professional from the Website and Anytime Professionals reserves the right to seek damages for breach of these Terms.

  5. Accuracy, completeness and timeliness of information

    1. The information on our Website is general in nature and should not be relied upon.

    2. The information is not comprehensive and is intended to provide a summary of the subject matter covered. While we use all reasonable attempts to ensure the accuracy and completeness of the information on our Website, to the extent permitted by law, including the Australian Consumer Law, we make no warranty regarding the information on this Website. You should monitor any changes to the information contained on this Website.

    3. We are not liable to you or anyone else if interference with or damage to your computer system occurs in connection with the use of this Website or a linked Website. You must take your own precautions to ensure that whatever you select for your use from our Website is free of viruses or anything else (such as worms or Trojan horses) that may interfere with or damage the operations of your computer systems.

    4. We may, from time to time and without notice, change or add to the Website (including the Terms) or the information, products or services described in it. However, we do not undertake to keep the Website updated. We will not be liable to you or anyone else if errors occur in the information on the Website or if that information is not up-to-date.

  6. Linked Website

    Our Website may contain links to Websites operated by third parties. Those links are provided for convenience and may not remain current or be maintained. Unless expressly stated otherwise, we do not endorse and are not responsible for the content on those linked Websites and have no control over or rights in those linked Websites.

  7. Intellectual property rights

    1. Unless otherwise indicated, we own or license from third parties all rights, title and interest (including copyright, designs, patents, trademarks and other intellectual property rights) in this Website and in all of the material (including all text, graphics, logos, audio and software) made available on this Website (“Content” ).

    2. Your use of this Website, platform and Content does not grant or transfer any rights, title or interest to you in relation to this Website, platform or Content. However, we do grant you a licence to access the Website, platform and view the Content as stated in the Terms and where applicable, as expressly authorised by us and/or our third party licensors.

    3. Any reproduction or redistribution of this Website, platform or the Content is prohibited and may result in civil and criminal penalties. In addition, you must not copy the Content to any other server, location or support for publication, reproduction or distribution.

  8. Confidential Information

    1. Confidential Information means any documents, templates, information or other material provided by the Professional or Anytime Professionals to the Client.

    2. By using our Website, you must not use or disclose any confidential information without prior written consent of the other party.

  9. Unacceptable activity

    1. You must not do any act that we would deem to be inappropriate, is unlawful or is prohibited by any laws applicable to our Website, including but not limited to:

      1. any act that would constitute a breach of either the privacy (including uploading private or personal information without an individual's consent) or any other of the legal rights of individuals;

      2. requesting Professionals to do work that is illegal;

      3. using this Website to defame or libel us, our employees, Professionals or other individuals;

      4. uploading files that contain viruses that may cause damage to the Website, our property, or the property of other individuals;

      5. posting or transmitting to this Website any non-authorised material including, but not limited to, material that is, in our opinion, likely to cause annoyance, or which is defamatory, racist, obscene, threatening, pornographic or which is otherwise detrimental to or in violation of our systems or a third party's systems or network security.

    2. If we allow you to post any information to our Website, we have the right to take down this information at our sole discretion and without notice.

  10. Warranties and disclaimers

    1. To the maximum extent permitted by law, including the Australian Consumer Law, we make no warranties or representations about this Website or the Content, including but not limited to warranties or representations that they will be complete, accurate or up-to-date, that access will be uninterrupted or error-free or free from viruses, or that this Website will be secure.

    2. We reserve the right to restrict, suspend or terminate without notice your access to this Website, platform, any Content, or restrict you from ordering at any time without notice and we will not be responsible for any loss, cost, damage or liability that may arise as a result.

    3. Anytime Professionals makes no guarantees, representations or warranties about the accuracy or correctness of any of the advice or work completed by a Professional.

  11. Liability

    1. To the maximum extent permitted by law, including the Australian Consumer Law, in no event shall we be liable for any direct and indirect loss, damage or expense – irrespective of the manner in which it occurs – which may be suffered due to your use of our Website, platform and/or the information or materials contained on it, or as a result of the inaccessibility of this Website, platform, or supply of services from Professionals listed on the Website and/or the fact that certain information or materials contained on it are incorrect, incomplete or not up-to-date.

    2. Anytime Professionals cannot warrant that the Professionals will accurately provide the services and has no liability to the Client.

    3. You will at all times indemnify, and keep indemnified, us and our directors, officers, employees and agents from and against any loss (including reasonable legal costs and expenses) or liability incurred or suffered by you or by us arising from any claim, demand, suit, action or proceeding by any person against you or us where such loss or liability arose out of, in connection with or in respect of your conduct or breach of this Agreement.

  12. The Anytime Professionals Matching Process

    1. The Anytime Professionals Website is a marketplace to connect Clients with Professionals who offer various services.

    2. The Client can submit quote requests to Professionals listed on the Website.

    3. The Professionals can respond to a quote request with an Offer, which will include the scope of work, time frame and the Fee.

    4. A Client can accept an Offer from a Professional by paying the Fee through the Website.

    1. Quotes for a Client
      1. The Client can view the list of Professionals on the Website and can submit a quote request to a Professional for their services.

      2. The quote request should contain detailed information about the scope of work the Client is seeking.

      3. Submitting a quote request does not create any type of relationship between the Client and Professional.

      4. The Client will be notified through their registered email if a Professional has responded with an Offer or any other communications from the Professional.

      5. The Client can accept an Offer or seek further clarifications from the Professional or Offers from other Professionals on the Website.

      6. The Client accepts an Offer when it pays the Fee.

    2. Quotes for a Professional
      1. The Professional may receive quote requests from Clients through the Website.

      2. The quote request will contain information about the scope of the services and the payment amount.

      3. The Professional can respond to the quote request with an Offer.

      4. Submitting an Offer does not create any type of relationship between the Client and the Professional.

      5. The Professional agrees that by submitting an Offer to a Client the Professional will be bound to supply the services in the Offer if the Client accepts their Offer.

      6. The Professional will be notified via their registered email if a Client accepts an offer or any other communications from the Client.

  13. Professional Services
    1. When a Client accepts an Offer, this creates a binding agreement between the Client and the Professional.

    2. The Professional agrees to provide the services set out in the Offer in a professional and timely manner.

    3. Anytime Professionals will not be liable for any dealings or services between the Client and Professional.

    4. Anytime Professionals will send the Client an invoice after the service has been provided.

  14. Payments
    1. A Client accepts an Offer when it makes a payment of the Offer into trust held by Anytime Professionals pending completion of the services through the Website.

    2. The Professional will commence the services after being notified by Anytime Professionals of payment by the Client.

    3. The Professional hereby accepts that Anytime Professionals will receive commission of 22% of the Fee.

    4. Anytime Professionals must pay the Professionals 78% of the Fee.

    5. The Professional must notify the Client that the services have been completed.

    6. Following receipt of a notification under clause 14(e) the Client must confirm that the services provided by the Professional are complete within 7 days or otherwise notify Anytime Professionals of an issue under Clause 15(a).

    7. Failure to notify Anytime Professionals within 7 days or otherwise notify Anytime Professional of an issue under Clause 15(a) is deemed to mean that the Client is satisfied with the work and payment will be released to the Professional.

    8. Anytime Professionals will release the payment to the Professional within 14 days after being notified by the Client that the work has been completed subject to clause 15(a)

    9. Anytime Professionals will transfer the full amount to the Professional less any fees or commissions owed.

    10. Subject to clause 15, Anytime Professionals will make payments will be made into the Professional's nominated bank account.

  15. Refund Policy
    1. The Client has 7 days from the notification under clause 14(e) to notify Anytime Professionals of any issues with the Professionals service. Failure to notify Anytime Professionals within 7 days is deemed to mean that the Client is satisfied with the work and payment will be released under clause 14(h).

    2. If a dispute occurs, the Client and Professional agree not to commence court proceedings before making a genuine attempt to mediate the dispute.

    3. If a Client decides to terminate an Offer before the Professional has completed the Services, the Client must pay the Professional for the full fees, at the discretion of the Professional.

    4. Where a dispute occurs, Anytime Professionals reserves the right not to release the funds to the Professional until the dispute is resolved.

  16. Delivery

    1. Once a Professional is selected, the Client must make a secure payment through the Website which is held until the job is completed.

    2. Communications can begin between the Professional and the Client.

    3. The parties agree that the Professional informs the Anytime Professionals and Client when the service has been completed.

    4. Once the services have been performed by the Professional, the Professional will request the Client's approval to finalise the job and release payment. At this point, the Client will be able to rate and provide feedback as to how your Professional handled your job.

    5. Anytime Professionals will pay the Professional for the services they performed in accordance with clause 14, subject to clause 15.

  17. The Client's relationship with Anytime Professionals

    1. Anytime Professionals acts as a platform to connect the Client with a Professional.

    2. Anytime Professionals conducts due diligence about the Professionals and uses reasonable endeavours to ensure that the Professionals can provide services to Clients. The Client should make enquiries with the Professional that they have the appropriate insurance and registrations for the services supplied.

    3. The parties acknowledge and agree that Anytime Professionals is not a party to any dealings, transactions or supply or services between Clients and Professionals.

    4. You agree that you will not hold Anytime Professionals responsible for any damage caused directly or indirectly by services which originated through Anytime Professionals. We make no representations or warranties in relation to Professionals or the Clients.

    5. Clients will at all times indemnify Anytime Professionals and its officers, employees and agents from any loss or liability reasonably incurred or suffered which was caused by:

      1. a breach by that user of its obligations under these Terms;

      2. any wilful, unlawful or negligent act or omission of that user.

    6. Professionals will at all times indemnify Anytime Professionals and its officers, employees and agents from any loss or liability reasonably incurred or suffered which was caused by:

      1. a breach by that Professional of its obligations under these Terms;

      2. any wilful, unlawful or negligent act or omission;

      3. any goods or services that are supplied to a user.

  18. Force Majeure

    Anytime Professionals will not be liable for any delay or failure to perform its obligations pursuant to these terms if caused by circumstances beyond their reasonable control. Including but not limited to

    1. acts of God, lightning strikes, earthquakes, floods, storms, explosions, fires and any natural disaster;
    2. acts of war, acts of public enemies, terrorism, riots, civil commotion, malicious damage, sabotage and revolution; and
    3. strikes

    3. Any queries or complaints received by us will be referred for investigation by our team and a written response will be provided to you as soon as possible.

  20. Jurisdiction and governing law

    Your use of the Website and these Terms are governed by the laws of Victoria and you submit to the non-exclusive jurisdiction of the courts exercising jurisdiction in Victoria.
